Acknowledgments
I'd like to thank my friend, Sylvan N. Levy, Jr., for his useful suggestions after spending many hours reviewing the manuscript.
Additionally, the entire staff of Upstart Publishing Company, as well as reviewer Robert Friedman, have been of enormous assistance in the preparation of this book.
Special acknowledgment is given the Corporation Department, Secretary of State's office in Dover, Delaware, and its capable staff. In particular, I deeply appreciate the efforts of the Assistant Secretary of State, Richard H. Caldwell, for his personal assistance and helpful comments in reviewing this book.
Since the first printing of the hardcover edition in January 1973, Robert Reed, Secretary of State appointed by Governor Sherman Tribbitt; Grover Biddle, the Assistant Secretary of State; and Marie Shultie, Director, Corporation Department, and her staff have been of enormous assistance in helping to process smoothly and efficiently the large volume of new corporations from all over the world that have been formed as a result of this book.
In 1996, Secretary of State Edward J. Freel continued the fine work that historically has been done by the Corporation Department.

A Brief History of the Corporation
Most of American law has its origin in England. The corporation as a legal entity under English law dates back to the late fourteenth century. In the early 1600s, again in England, a number of joint stock associations were formed in an attempt to gain the same advantages as chartered corporations. In all contractual dealings, these companies were able to offer their shareholders liability protection. As a result, investors in such companies were in a more favorable position than partners whose liabilities for partnership debts were unlimited.
Corporations have been a part of North America's history for over 300 years. The Massachusetts Bay Company was chartered in 1629 by Charles I of England. Its purpose was to colonize the area near Massachusetts Bay. In 1630, it founded the city of Boston. The Hudson Bay Company of Canada was chartered in 1670 and continues to operate trading posts there today.
