International Business Transactions in a Nutshell introduces the basic legal aspects of private transactions for international sale of goods and international investment. It commences with a general introduction to international business, followed by a chapter on international business negotiations, and thereafter focuses on documentary international sales and letters of credit, transfers of technology, foreign investment, expropriations, extraterritorial regulation and anti-corruption law. Its concluding chapter provides a brief overview of private transnational dispute resolution, principally through litigation and arbitration.

This Tenth Edition of the Nutshell has been updated to include new cases, legislation, and developments relating to international business through early 2016. It has also been expanded to include an overview of important extraterritorial regulations by the United States and the European Union (Chapter 8) plus a new chapter on the U.S. Foreign Corrupt Practices Act (FCPA) and the OECD Anti-Bribery Convention (Chapter 9).

A closely related resource is International Trade and Economic Relations in a Nutshell (6th ed. 2016) by three of the same authors. It focuses principally on government controls on imports and exports, customs unions and free trade agreements, trade remedies, and the law and economic relations of the World Trade Organization, the European Union, IV and the North American Free Trade Agreement (NAFTA). The two Nutshells together provide a broad introduction to the people and institutions who practice international business law, and the government and multilateral organizations that both encourage and restrict international trade and economic relations.

For those who wish to explore these topics in greater depth, our International Business Transactions: A Problem-Oriented Coursebook (12th ed. 2015) provides problems, excerpts from cases and other legal materials, questions and further discussion. An additional resource is our Principles of International Business Transactions (Wests Concise Hornbook Series, 3d ed. 2013) (the fourth edition is forthcoming in 2016).
